1. Introduction

This Client Agreement is an agreement between you (“you” or “Client” refers to anyone who intends to hire a Recruiter) and workbrook LLC (referred to as “Workbrook”, “we” or “us”) and, to the extent expressly stated, Green Harbour Limited (referred to as “Green Harbour”). You must read, agree to, and accept all of the terms and conditions contained in this Agreement to be a Client on our mobile and web applications (referred to as “workbrook”, “software”, “platform”, “application” or “app”).

If you reside in Nigeria, you are entering into this Agreement with Green Harbour Limited.

This agreement is an addition to the User Terms and Conditions and not a substitute. You are not eligible to Client on workbrook unless you have accepted the User Terms and Condition, all details of the User Terms and Conditions apply to all Client on our platform.

2. Becoming a Client on workbrook

Workbrook provides you with a platform to hire freelance recruiters (“Recruiter’) to provide recruitment services for your hiring needs. 

By posting a job on recruiter platform of workbrook in order to hire a recruiter, you are affirming that you have the authority to act on behalf the organization or entity where this position domicile (i.e. the organization that owns this position) as a decision maker to hire a recruiter (and his/her services).

BY CLICKING ON “HIRE RECRUITER”, YOU BECOME A “CLIENT” REQUESTING THE SERVICES OF POTENTIAL FREELANCE RECRUITERS ON WORKBROOK AND AGREE TO PAY WORKBROOK AN INTRODUCTION FEE INDICATED ON OUR PLATFORM.

3. Requesting and Hiring a Recruiter

You agree not to hire more than one (1) recruiter for each job posted on the recruiter portal; you may have only ONE Active Recruiter per role at a time. You may engage a maximum of two (2) recruiters at a time for each job posted on the recruiter portal. If a recruiter declines your request, you may substitute that recruiter with a new recruiter. 

All decisions and actions to hire a recruiter must be performed on workbrook, you may not hire a recruiter you reached out to or engaged on workbrook outside the platform.

By selecting recruiters, you agree to share your information, the information about your job and the organization that owns the job with selected recruiters.

UPON REQUESTING THE SERVICES OF RECRUITERS, YOU COMMIT TO AN AGREEMNT TO HIRE THE SERVICES OF THE FIRST RECRUITER TO ACCEPT YOUR REQUEST TO PROVIDE RECRUITMENT SERVICES WITH ASSOCIATED COST IMPLICATIONS INDICATED ON THE RECRUITER CHARGES OF THE RECRUITER’S PROFILE

You may not review or revise your job details once a Recruiter has accepted your request. If you intend to revise details of your job, you must inform the Active Recruiter of all changes.

4. Hiring the Active Recruiter’s Candidates

Once you have an Active Recruiter for your job, the Active Recruiter will share a list of Shortlisted Candidates that meet the requirements of your Job within 15days of accepting your request to hire. The Shortlist will be a minimum if 3 candidates who meet the minimum requirements of your job (at least 3 primary candidates).  You may accept or reject the shortlist; however, you will have to provide a reasonable reason for rejecting the shortlist. 

You may reject the Shortlist only if:

  • At least 3 candidates in the shortlist do not meet the minimum requirement of your job
  • You have previously interviewed any of the 3 primary candidates for the same role. 

The Active Recruiter will have an opportunity to redo the shortlist if you reject the first shortlist.

You agree to complete the hiring of the preferred candidate on the Platform no later than 10days after the candidate formally accepts your offer. You agree to indicated the full, correct and accurate salary accepted by the preferred candidate on the Platform.

5. Fees and Payment

Introduction Fee- the Introduction fee is a fee charged by us for introducing you to Recruiters. Once you have decided to hire a recruiter on workbrook, your wallet will be debited in the amount of the Introduction Fee. If you do not have sufficient funds in your wallet, you may add funds to your wallet through your preferred payment method. Introduction Fee is charged per role per Recruiter

Introduction Fee is an amount indicated on the workbrook app and may change as deemed necessary. Introduction Fee is $99

Placement Fees are fees paid to the Recruiter for hiring services rendered on each job you offer to the Recruiter. Upon hiring a candidate presented by the Active Recruiter on the Platform, your wallet will be immediately debited with the amount due for the recruiter services. This fee is due for full payment within 15 days of hiring the preferred candidate on the Platform. If you do not have sufficient funds in your wallet, you may add funds to your wallet through your preferred payment method

Placement Fee is calculated based on the Salary offered to and accepted by the preferred candidate and the amount and/or percentage Recruiter Charges indicated on the Active Recruiter’s profile.

Placement Fee is not subject to reduction even if the candidate’s employment terminates. The Client will be obligated to pay such fee whenever:

A candidate introduced to Client by the Active Recruiter is hired, directly or indirectly, for any position, as an employee, consultant, or independent contractor, by Client, its affiliates, parents, or subsidiaries, within 12 months of the most recent activity on behalf of that candidate by the Active Recruiter OR

A candidate introduced to the Client by the Active Recruiter is referred by the Client to another employer or recruiting firm and the candidate is hired, directly or indirectly, for any position, as an employee, consultant, or independent contractor, by such employer or through such recruiting firm within 12 months of the most recent activity on behalf of that candidate by the Active Recruiter.

If you default on the payment of the Placement Fee, workbrook reserves the right to use whatever means we deem fit to recover this payment.

6. Hire Guarantee

There may be circumstances where an employment of a candidate presented by a Recruiter is terminated. In the case where the hired candidate leaves the Client for any reason within 90days of the date hired on the platform, the Active Recruiter will replace with a new candidate at no additional cost to the Client, provided: 

  • The Client has notified us in writing of the termination of the engagement within the 90days; 
  • The termination is not due to redundancy, change of job specification or employment terms, or relocation of the employment;
  • The Client hired the preferred candidate on the Platform no later than 10days after the candidate formally accepted the offer; and 
  • The Client has paid in full all recruiter charges with 15 days of hiring the candidate on the Platform.

Candidate Personal Information Confidentiality

All candidate introductions made by the Active Recruiter or workbrook are made on a confidential basis and the Client shall hold the Active Recruiter or workbrook harmless from any liability resulting from the Client’s unauthorized disclosure or misuse of information regarding any candidates or their candidacy. 

7. Disclaimer

WORKBROOK DOES NOT GUARANTEE THE PERFORMANCE OF ANY CANDIDATE OR THE ACCURACY OF INFORMATION PROVIDED REGARDING A CANDIDATE, AND DISCLAIMS ANY RESPONSIBILITY FOR CLAIM, LOSS, OR LIABILITY AS A RESULT OF A CANDIDATE’S ACTS OR OMISSIONS. WE URGE THE CLIENT TO CONDUCT SUCH INVESTIGATIONS, AS IT DEEMS NECESSARY TO VERIFY CANDIDATE INFORMATION OR TO OBTAIN SUCH OTHER INFORMATION, AS IT MAY DEEM RELEVANT.
